Most routine HR documents in India can be handled with electronic signatures if the signer’s consent, identity, document version, timestamp and audit trail are properly captured. Use eSign for offer letters, appointment letters, NDAs, policy acknowledgments and appraisal letters. Slow down for documents that need stamping, witnessing, notarisation, filings on a government portal, or sector-specific employment advice. Treat this as an operations checklist, not legal advice; confirm edge cases with counsel.
HR documents: eSign, review, or wet ink?
Use this table before moving an HR document into an electronic signing flow.
| HR document | Usually suitable for eSignature? | What to check before sending |
|---|---|---|
| Offer letter | Yes | Candidate name, role, compensation, joining date, offer expiry, acceptance language |
| Appointment letter / employment agreement | Usually yes | Stamp duty position, probation clause, notice period, confidentiality, governing law, state-specific employment rules |
| NDA / confidentiality agreement | Usually yes | Correct legal names, scope of confidential information, survival period, permitted disclosures |
| IP assignment / invention assignment | Review first | Whether separate stamping, witness, or local counsel review is needed for the role and jurisdiction |
| Employee handbook acknowledgment | Yes | Version number, policy URL or attachment, acknowledgment wording |
| POSH policy acknowledgment | Yes | Policy version, training record linkage, employee acknowledgment date |
| Code of conduct / IT policy | Yes | Device, data, monitoring and access language reviewed by HR/legal |
| Salary revision / appraisal letter | Yes | Effective date, CTC breakup, variable pay conditions, acceptance or acknowledgment mode |
| Full and final settlement acknowledgment | Review first | Dispute risk, release wording, payment timing, whether wet ink is safer for contentious exits |
| Government forms or statutory filings | Depends | Use the method required by the specific portal, regulator, or form instructions |
If the document creates a high-value obligation, transfers IP, settles a dispute, or may be litigated, do not decide based only on convenience. Ask legal counsel what signature method and evidence package they want retained.

Minimum evidence HR should keep
An HR eSignature process is only as strong as the record you can produce later. Keep these controls for every signed employee document:
- Final PDF or locked document version sent for signature
- Signer name, email address and, where used, phone number
- Clear consent to sign electronically
- Date and time of each signing action
- IP address or device/session evidence where your tool captures it
- Document ID, version number and file hash or tamper-evidence record if available
- Audit trail showing sent, viewed, signed, declined or completed status
- Identity method used, such as email OTP, Aadhaar eSign, DSC, or platform login
- Copy of every attachment incorporated by reference, such as handbook or policy PDF
- Retention location and access controls after completion
Do not store signed HR documents only in an email inbox. Use a controlled employee file, HRMS, document repository, or contract workspace with restricted access.
When to choose email eSign, Aadhaar eSign, DSC, or wet ink
| Situation | Practical choice | Trade-off |
|---|---|---|
| Low-risk acknowledgment, such as handbook receipt | Standard electronic signature with audit trail | Fast and simple, but identity assurance is lower than Aadhaar eSign or DSC |
| Offer letter or appointment letter for normal hiring | Electronic signature with strong audit trail | Good balance of speed and evidence; check stamping and local employment requirements |
| Senior employee, high compensation, or sensitive IP role | Aadhaar eSign, DSC, or stronger identity workflow | More friction, but better identity assurance |
| Board-level employment documents or complex ESOP/IP arrangements | Counsel-led workflow; may use DSC or wet ink | Slower, but safer for high-value obligations |
| Disputed exit, release, settlement or waiver | Legal review before choosing method | Wet ink or witnessed signing may be preferred depending on facts |
| Document must be filed on a specific government portal | Use the portal-prescribed method | HR convenience cannot override statutory filing instructions |
The key decision is not “electronic or paper.” It is whether the signing method matches the risk of the document.
HR onboarding workflow for eSigned documents
1. Standardise templates first
Create approved templates for offer letters, appointment letters, NDAs, policy acknowledgments and appraisal letters. Lock clauses that HR should not edit without legal approval.
At minimum, each template should include:
- Company legal name
- Employee legal name
- Role, location and reporting structure
- Compensation or reference to annexure
- Effective date
- Acceptance wording
- Governing law and dispute handling clause where applicable
- Attachment list
- Signature blocks for all required signers
2. Define who approves before sending
A simple approval matrix prevents HR from sending inconsistent terms.
| Change type | Approval needed |
|---|---|
| Standard offer within salary band | HR manager |
| Salary exception | HR head plus finance or founder |
| Notice period change | HR head |
| IP, non-solicit or confidentiality change | Legal counsel |
| Senior hire or CXO appointment | Founder or board-authorised signer |
For a broader workflow pattern, use the contract approval workflow template and adapt it to HR documents.
3. Capture consent to sign electronically
The signing screen, email, or acceptance flow should make it clear that the employee is signing electronically and agrees to that method. Avoid vague flows where the person merely downloads a PDF and replies “ok.”
4. Send the complete document pack
If the appointment letter says “subject to the employee handbook,” attach the exact handbook version or link to a controlled copy. If the policy changes later, keep the version the employee acknowledged.
5. Store the signed copy and audit trail together
HR should be able to retrieve both the signed document and its audit trail without asking IT to search email logs. In a dispute, the audit trail may be as important as the PDF.
A platform such as ZiaSign can be used where HR wants document review, approvals, legally binding e-signatures and tracking in one workflow, but the same controls should exist whichever tool you use.
Hypothetical worked example: 25 hires in one month
Hypothetical example, not a customer result.
A 70-person SaaS company in Bengaluru hires 25 employees in April. HR needs each person to sign:
- Offer letter
- Appointment letter
- NDA
- Employee handbook acknowledgment
- IT asset policy
That is 125 signed documents.
A practical setup:
| Step | Manual approach | Controlled eSign approach |
|---|---|---|
| Template preparation | HR edits old Word files | HR uses approved templates with locked clauses |
| Approvals | Email chains with unclear final approval | Salary exceptions and clause edits routed before sending |
| Candidate signing | Print, scan or email acceptance | Candidate signs final PDF electronically |
| Record storage | PDFs scattered across inboxes | Signed PDF plus audit trail stored in employee file |
| Retrieval later | HR searches email threads | HR searches by employee name and document type |
The eSign workflow does not remove legal review. It reduces avoidable admin errors: wrong template versions, missing attachments, unsigned policy pages and incomplete records.
Common mistakes to avoid
- Sending editable Word files for signature instead of final PDFs
- Letting recruiters modify legal clauses without approval
- Treating email acceptance as enough for every document type
- Forgetting stamp duty review for employment agreements where applicable
- Storing signed documents without the audit trail
- Using one generic signer account for multiple HR team members
- Not preserving the exact policy version the employee accepted
- Continuing with eSign when the employee disputes terms or identity
Limitations and legal cautions
Electronic signing is not a cure for a bad HR document. If the underlying clause is unenforceable, unclear or non-compliant, an eSignature will not fix it.
India also has document-specific and state-specific issues. Employment terms, stamp duty, labour law obligations, sector rules and government filing instructions can affect the correct process. For senior hires, settlements, IP assignments, ESOP paperwork, cross-border employees or disputed exits, get legal advice before relying on a standard eSign flow.
FAQ
Can an offer letter be signed electronically in India?
Usually, yes, if the candidate clearly accepts the offer, the final version is preserved, and the audit trail shows who signed and when. For unusual terms or senior roles, get counsel to review the template and signing method.
Is an appointment letter different from an offer letter?
Operationally, yes. An offer letter is often pre-joining. An appointment letter or employment agreement may contain the detailed employment terms. Because it can carry more legal weight, review stamping, clauses and signer authority before automating it.
Does every HR document need Aadhaar eSign or DSC?
No. Many acknowledgments and routine HR letters can use a standard electronic signature with a strong audit trail. Use Aadhaar eSign, DSC or wet ink when identity assurance, regulatory expectation, document value or dispute risk is higher.
Should HR keep paper originals after eSigning?
Not for every routine document. But if counsel says a specific document should be wet-signed, stamped, witnessed or notarised, follow that process and store the original safely.
Closing note
Start with low-risk HR documents: offer letters, NDAs and policy acknowledgments. Once the evidence checklist is working, move appointment letters and higher-risk documents into the workflow only after HR and legal agree on the controls.
